Pilot & Evaluation Agreement

This Pilot & Evaluation Agreement (the "Pilot Agreement") governs your use of the Midslate service (the "Service") provided by Midslate Inc. ("we", "us") during a pilot. It applies in addition to our Terms of Service, Privacy Notice and Data Processing Addendum; where this Pilot Agreement conflicts with those documents, this Pilot Agreement controls for the pilot period.

1. Pre-release, not generally available

The Service is pre-release and not yet available to the public. It is made available to a limited number of pilot customers for evaluation only. Features may be incomplete, may change, or may be withdrawn at any time without notice, and the Service may contain defects.

2. Provided at no charge

For the pilot period we provide access to the Service to you at no charge. No subscription fee is payable for pilot access. We may begin charging for the Service in the future; we will give you notice before any charges would apply to you, and you will be free to decline and stop using the Service.

3. Provided "as is" — no warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" FOR EVALUATION, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be available, uninterrupted, error-free, or secure during the pilot.

4. Data — loss, leakage, and your backups

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDSLATE INC. IS NOT RESPONSIBLE OR LIABLE FOR ANY LOSS OR CORRUPTION OF, OR ANY UNAUTHORISED ACCESS TO, DISCLOSURE OF, OR LEAKAGE OF, ANY DATA YOU SUBMIT TO OR PROCESS THROUGH THE SERVICE DURING THE PILOT, HOWEVER CAUSED. Because the Service is pre-release, you should not rely on it as your only system of record, should keep your own independent backups, and should not submit data that you cannot afford to lose or that is more sensitive than necessary to evaluate the Service. Nothing in this Pilot Agreement excludes or limits liability that cannot be excluded or limited by law (for example, for death or personal injury caused by negligence, or for fraud).

5. Feedback

A purpose of the pilot is to gather your feedback. You agree to provide reasonable feedback about your experience on request. You grant us a perpetual, irrevocable, royalty-free right to use that feedback to operate and improve the Service, with no obligation to you and no confidentiality obligation on us in respect of the feedback itself.

6. Confidentiality of the pre-release

The pre-release Service, its features, and your evaluation of it are our confidential information. You agree not to publicly disclose, publish benchmarks of, or demonstrate the Service to third parties without our prior written consent during the pilot.

7. Term & termination

Either party may end the pilot at any time, for any reason, on notice. We may suspend or withdraw access to the pre-release Service at any time. On termination of the pilot, your right to use the Service ends; you may request an export of your data first (see DPA).
